1. Acceptance of These Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Dyrect (“Dyrect”, “we”, “our”, or “us”) and each individual or legal entity that accesses or uses the Dyrect Platform (“User”, “you”, or “your”).

These Terms govern your access to and use of the Dyrect mobile application, website, APIs, payment features, escrow functionality, customer support services, communication features, and related products, technologies, and services collectively referred to as the “Platform.”

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms together with our Privacy Policy and any other policies that expressly apply to your use of Dyrect.

If you do not agree to these Terms, you must not access or use the Platform.

If you use Dyrect on behalf of a business, company, organisation, association, or other legal entity, you represent that you have the legal authority to bind that entity to these Terms.

2. About Dyrect

Dyrect operates a community-powered delivery marketplace.

The Platform connects individuals and businesses that need to send packages (“Senders”) with people who are already travelling in compatible directions and are willing to carry those packages (“Drop Stars”).

Dyrect provides technology that may facilitate:

  • Package listings;
  • Route matching;
  • Communication between Users;
  • Pickup and delivery coordination;
  • Location and live-tracking features;
  • Payment processing;
  • Escrow protection;
  • Drop Star earnings and payouts;
  • Ratings and reviews;
  • Identity verification;
  • Safety features;
  • Dispute support;
  • Customer support.

Unless expressly stated otherwise, Dyrect does not itself physically transport Packages.

Dyrect does not guarantee that a Delivery Request will be accepted or completed.

Drop Stars are free to decide whether to make themselves available and whether to accept compatible Package opportunities displayed through the Platform.

3. Definitions

For purposes of these Terms:

“Account” means a registered User profile on the Dyrect Platform.

“Applicable Law” means any applicable law, regulation, court order, regulatory requirement, or legally binding governmental rule.

“Content” means text, photographs, videos, documents, messages, ratings, reviews, location information, files, or other materials submitted, displayed, transmitted, or stored through the Platform.

“Delivery” means transportation of a permitted Package from an agreed pickup location to an agreed delivery destination through a transaction facilitated by Dyrect.

“Delivery Request” means a request created by a Sender seeking transportation of a Package.

“Drop Star” means a User who chooses to make themselves available to carry Packages along journeys or routes they are already taking.

“Escrow” means funds associated with an eligible Delivery that are temporarily held pending successful Delivery confirmation, cancellation, dispute resolution, refund determination, fraud review, or another event permitted under these Terms.

“Fees” means Platform fees, service fees, payment processing charges, cancellation fees, or other charges disclosed through the Platform.

“Package” means an item, parcel, document, or other permitted property submitted for transportation through Dyrect.

“Platform” means the Dyrect mobile application, website, APIs, software, communication systems, payment systems, escrow functionality, and related technology.

“Recipient” means the individual designated to receive a Package.

“Sender” means a User who creates a Delivery Request.

“Services” means the features and technology made available through the Platform.

4. Eligibility

You must be at least eighteen (18) years old, or otherwise have reached the legal age required to enter into binding agreements in your jurisdiction, to independently use Dyrect.

By creating an Account, you represent that:

  • You satisfy the applicable age requirement;
  • You have legal capacity to agree to these Terms;
  • The information you provide is truthful and accurate;
  • You are not impersonating another person;
  • Your use of Dyrect does not violate Applicable Law.

Dyrect may request proof of age or identity at any time.

You may not use the Platform if you have been permanently removed from Dyrect unless Dyrect expressly authorises your return.

Attempting to evade an Account suspension, restriction, or termination through another Account is prohibited.

5. User Accounts and Security

Certain Platform features require an Account.

You agree to provide accurate and current information when creating and maintaining your Account.

You are responsible for protecting:

  • Passwords;
  • OTPs;
  • Verification codes;
  • Recovery credentials;
  • Biometric authentication;
  • Devices used to access your Account.

You must not knowingly allow another person to impersonate you or operate your Account in violation of these Terms.

You must promptly notify Dyrect if you believe:

  • Your Account has been compromised;
  • Your device has been stolen;
  • Someone has accessed your Account without permission;
  • An OTP or verification code has been intercepted;
  • An unauthorised transaction has occurred.

Dyrect may restrict, suspend, or terminate Accounts where we reasonably believe fraud, misuse, false information, unlawful conduct, a security threat, or a material violation of these Terms has occurred.

6. Identity Verification and KYC

Dyrect may require identity verification or Know Your Customer (KYC) checks before allowing access to some or all Platform features.

Verification requirements may depend on:

  • User role;
  • Transaction value;
  • Payment method;
  • Risk indicators;
  • Account activity;
  • Applicable legal or regulatory requirements.

Verification may require:

  • Government-issued identification;
  • Passport;
  • National identification card;
  • Driver’s licence;
  • Selfie verification;
  • Date of birth;
  • Proof of address;
  • Business registration information;
  • Other reasonably necessary verification information.

Dyrect may require additional or repeated verification where reasonably necessary.

Failure to complete required verification may result in:

  • Restricted functionality;
  • Delayed payments;
  • Inability to create or accept certain Deliveries;
  • Delayed payouts;
  • Suspension;
  • Termination.

Providing forged, stolen, altered, or deliberately misleading verification information is prohibited.

7. How the Dyrect Marketplace Works

Senders may create Delivery Requests containing information about a Package, pickup location, destination, timing, and other relevant details.

Drop Stars may discover Package opportunities that Dyrect determines may be reasonably compatible with their journey.

Matching may consider factors including:

  • Drop Star route;
  • Pickup location;
  • Destination;
  • Distance from the planned route;
  • Estimated detour;
  • Travel schedule;
  • Availability;
  • Package characteristics;
  • Delivery fee;
  • Relevant safety or eligibility factors.

A Drop Star remains free to determine whether to accept an available Package opportunity.

Unless expressly stated otherwise, routes, distances, detours, prices, arrival times, and availability displayed through Dyrect are estimates and are not guarantees.

8. Relationship Between Users and Dyrect

Dyrect operates the technology that facilitates interactions between Senders and Drop Stars.

Unless Applicable Law provides otherwise, Drop Stars are independent Users and are not employees of Dyrect merely because they use the Platform.

Nothing in these Terms is intended by itself to create an:

  • Employment relationship;
  • Partnership;
  • Joint venture;
  • Franchise;
  • Agency relationship;
  • Fiduciary relationship.

No User has authority to represent, bind, or incur obligations on behalf of Dyrect unless expressly authorised in writing.

Nothing in these Terms overrides rights or obligations that cannot lawfully be excluded.

9. Sender Responsibilities

Senders are responsible for Delivery Requests they create.

A Sender must:

  • Provide accurate pickup information;
  • Provide an accurate destination;
  • Provide correct Recipient information;
  • Accurately describe the Package;
  • Properly package the item;
  • Provide relevant handling instructions;
  • Ensure the Package is lawful;
  • Be reasonably available for pickup where necessary;
  • Pay applicable Delivery charges through approved methods.

The Sender is responsible for ensuring that packaging is reasonably appropriate for the Package and expected journey.

Dyrect is not responsible for damage caused solely by inadequate or inappropriate packaging to the extent permitted by law.

Senders must not deliberately misrepresent Package contents, dimensions, weight, value, condition, or risk characteristics.

10. Drop Star Responsibilities

Drop Stars determine whether to make themselves available and whether to accept compatible Package opportunities.

Once a Drop Star accepts a Delivery, the Drop Star agrees to exercise reasonable care and to:

  • Handle the Package responsibly;
  • Follow applicable transportation and road-safety laws;
  • Follow reasonable pickup and delivery instructions;
  • Complete required verification procedures;
  • Take reasonable steps to protect the Package;
  • Deliver the Package to the designated Recipient or authorised representative;
  • Promptly report significant problems affecting the Delivery;
  • Complete the required Delivery confirmation process.

Where required, Drop Stars may need to complete:

  • Pickup verification;
  • OTP verification;
  • Photo confirmation;
  • Delivery confirmation;
  • Location verification;
  • Identity verification.

Drop Stars are responsible for maintaining any vehicle, bicycle, motorcycle, mobile device, licence, permit, insurance, registration, or equipment legally required for their chosen means of travel.

11. Recipient Responsibilities

Recipients may be required to cooperate with reasonable delivery-verification procedures.

These may include:

  • Providing an OTP;
  • Presenting identification where required;
  • Confirming receipt;
  • Completing an electronic acknowledgement;
  • Completing other reasonable verification.

A Drop Star may decline to release a Package where required verification cannot be completed, subject to Dyrect’s applicable procedures.

Recipients should only provide a Delivery OTP after the Package has actually been received and the Recipient is satisfied that delivery has occurred.

12. Prohibited Items

Users must not use Dyrect to transport items prohibited by Applicable Law or Dyrect policies.

Prohibited items may include:

  • Illegal drugs or narcotics;
  • Unlawfully possessed firearms or ammunition;
  • Explosives;
  • Dangerous or prohibited hazardous materials;
  • Toxic or radioactive substances;
  • Stolen property;
  • Counterfeit goods;
  • Human remains or organs except where expressly lawful and authorised;
  • Illegal sexual content;
  • Forged or fraudulent documents;
  • Items intended to facilitate criminal activity;
  • Other items prohibited by law or Dyrect’s Prohibited Items Policy.

Additional restrictions may apply to cash, jewellery, precious metals, high-value goods, perishable goods, fragile items, medicines, alcohol, animals, or other regulated or unusually risky items.

Dyrect may refuse, cancel, restrict, investigate, or report transactions involving suspected prohibited items.

Users remain responsible for ensuring that Package contents comply with Applicable Law.

Dyrect does not routinely inspect every Package and is not deemed to know Package contents merely because a transaction occurs through the Platform.

13. High-Value, Fragile and Special Items

Certain items may be subject to additional restrictions, value limits, packaging requirements, verification requirements, or exclusions.

Unless Dyrect expressly states otherwise, Senders should not use the Platform for unusually valuable items where the potential loss materially exceeds any protection expressly offered through Dyrect.

A Sender must accurately disclose relevant characteristics of fragile, sensitive, regulated, or unusually valuable Packages.

Dyrect may refuse any Package that presents unreasonable legal, safety, security, or operational risk.

14. Payments, Fees and Drop Star Earnings

14.1 Payments

Dyrect facilitates payments between Senders and Drop Stars through approved payment methods and payment service providers.

Before confirming a Delivery, the Platform may display applicable charges including:

  • Delivery fee;
  • Platform service fee;
  • Payment processing fee;
  • Other charges disclosed before confirmation.

By confirming a Delivery and making payment, the Sender authorises the applicable amount to be collected and handled in accordance with these Terms and Dyrect’s escrow process.

14.2 Drop Star Earnings

Drop Stars may earn the amount displayed or agreed through the Platform for successfully completed Deliveries.

Drop Star earnings may be subject to:

  • Applicable Platform fees;
  • Payment processing requirements;
  • Identity verification;
  • Fraud and security checks;
  • Applicable taxes or regulatory requirements;
  • Disputes;
  • Refunds;
  • Valid payment reversals.

The amount payable to the Drop Star will normally be displayed or otherwise made available through the Platform before the Delivery is accepted.

14.3 Fees

Dyrect may charge Platform, processing, cancellation, service, or other fees.

Applicable fees should ordinarily be disclosed before the relevant transaction is confirmed.

Dyrect may modify its pricing structure prospectively.

Pricing changes will not ordinarily alter completed transactions except where permitted by law, necessary to correct an error, or required because of fraud or a valid payment reversal.

15. Escrow and Payment Protection

15.1 Purpose of Escrow

Dyrect uses an escrow system designed to safeguard both Senders and Drop Stars during eligible Deliveries.

When a Sender pays for an eligible Delivery, the applicable Delivery funds are held and are not released to the Drop Star until the Delivery is successfully completed and confirmed in accordance with Dyrect’s verification process.

The escrow system is intended to provide assurance that:

  • The Sender’s payment is secured while the Delivery is in progress;
  • The Drop Star can see that payment has been secured before completing the Delivery;
  • Funds are not released until the required Delivery confirmation occurs;
  • Disputed transactions can be reviewed before funds are released where appropriate.

15.2 Funding the Escrow

A Sender may be required to pay the full applicable Delivery amount before the Delivery begins.

Once payment has been successfully confirmed, Dyrect may indicate through the Platform that the transaction is funded, secured, or held in escrow.

Drop Stars should rely only on payment confirmation displayed through the Dyrect Platform and should not rely solely on screenshots, messages, receipts, or representations made outside the Platform.

15.3 Delivery Confirmation

Dyrect uses Delivery verification procedures to confirm successful completion.

For eligible Deliveries, confirmation may require action by both the Drop Star and the Sender or Recipient.

Verification may include:

  • Delivery OTP;
  • Sender confirmation;
  • Recipient confirmation;
  • Drop Star confirmation;
  • Proof-of-delivery photographs;
  • GPS or location verification;
  • Timestamps;
  • Other verification methods made available through the Platform.

Where OTP verification is required, the OTP must be successfully validated through the Platform before the Delivery is treated as confirmed, subject to any dispute or exception procedure.

15.4 OTP Confirmation

A Delivery OTP is a security credential used to confirm that the Package has been delivered.

The Sender or Recipient must not provide the OTP before the Package has actually been delivered.

Providing a valid OTP through the required Delivery process may constitute confirmation that:

  • The Package has been delivered;
  • The relevant Delivery has been completed;
  • Dyrect may proceed with release of the applicable escrow funds, subject to any active dispute, fraud review, or security restriction.

Drop Stars must not request, obtain, enter, or attempt to use an OTP before completing the Delivery.

15.5 Release of Escrow Funds

Once Dyrect receives the required confirmation that the Delivery has been successfully completed, the applicable funds may be released from escrow to the Drop Star.

Release may occur automatically after successful OTP verification or after any other required confirmation is completed.

Funds may become available for payout subject to:

  • Payment processing times;
  • Identity verification;
  • Fraud or security review;
  • Applicable fees;
  • Payment-provider requirements;
  • Applicable Law.

15.6 Failed or Incorrect OTP Verification

If OTP verification cannot be completed because of:

  • Technical failure;
  • Network interruption;
  • Incorrect contact information;
  • Lost or unavailable device;
  • Delivery verification error;
  • Another legitimate issue,

the User should contact Dyrect Support.

Dyrect may use alternative verification procedures before determining whether a Delivery was successfully completed.

Alternative evidence may include:

  • Recipient confirmation;
  • Sender confirmation;
  • GPS records;
  • Proof-of-delivery photographs;
  • In-app communications;
  • Identity verification;
  • Delivery timestamps;
  • Other reasonably reliable evidence.

15.7 Disputed Deliveries

If a legitimate dispute is reported before escrow funds are released, Dyrect may temporarily hold the funds while reviewing the Delivery.

Dyrect may consider:

  • OTP records;
  • Pickup confirmation;
  • Delivery confirmation;
  • GPS and route information;
  • Photographs;
  • In-app messages;
  • Sender statements;
  • Recipient statements;
  • Drop Star statements;
  • Package information;
  • Timestamps;
  • Payment records;
  • Other relevant Platform information.

Users agree to reasonably cooperate with Dyrect during a dispute investigation.

15.8 Outcome of a Dispute

Subject to Applicable Law and the circumstances of the Delivery, Dyrect may:

  • Release all or part of the funds to the Drop Star;
  • Refund all or part of the funds to the Sender;
  • Continue holding funds while requesting additional evidence;
  • Reverse or adjust a transaction where legally permitted;
  • Take another reasonable action necessary to resolve the transaction.

Dyrect’s internal dispute decision does not remove legal rights available to any User under Applicable Law.

15.9 Fraud and Escrow Abuse

Users must not manipulate or attempt to manipulate Dyrect’s escrow or Delivery-verification systems.

Prohibited conduct includes:

  • Fake Delivery confirmations;
  • Fraudulent OTP use;
  • Requesting OTPs before Delivery;
  • Collusion between Users;
  • Fake Delivery Requests;
  • Attempting to release funds without completing a Delivery;
  • Fraudulent refund claims;
  • Chargeback abuse;
  • Providing false dispute evidence;
  • Circumventing Platform payment controls.

Dyrect may investigate suspected abuse and may, subject to Applicable Law:

  • Delay transactions;
  • Restrict Accounts;
  • Suspend Accounts;
  • Withhold release of disputed funds;
  • Request additional verification;
  • Cancel transactions;
  • Report suspected unlawful activity to competent authorities.

15.10 Cancellations and Escrow

If a Delivery is cancelled before completion, escrow funds will be handled according to these Terms and any applicable Cancellation or Refund Policy.

Depending on the circumstances, this may include:

  • Full refund to the Sender;
  • Partial refund;
  • Deduction of an applicable cancellation fee;
  • Compensation for reasonable costs already incurred by the Drop Star;
  • Continued temporary holding of funds where the cancellation is disputed.

15.11 Payment Providers

Dyrect may use banks, mobile money operators, payment processors, or other authorised financial service providers to collect, hold, transfer, settle, or pay funds associated with Deliveries.

Processing may be affected by:

  • Network availability;
  • Banking or mobile money processing times;
  • Verification requirements;
  • Transaction limits;
  • Fraud reviews;
  • Regulatory requirements.

15.12 No Interest

Unless otherwise required by Applicable Law or expressly stated by Dyrect, Users are not entitled to interest on funds temporarily held in connection with a Delivery.

15.13 No Circumvention

Users must not deliberately bypass Dyrect’s payment and escrow system for a Delivery arranged through the Platform where payment is required to be processed through Dyrect.

Prohibited circumvention may include requesting or accepting off-Platform payment to avoid:

  • Platform fees;
  • Escrow protection;
  • Transaction records;
  • Safety procedures;
  • Required Platform controls.

Dyrect may restrict or suspend Accounts that deliberately circumvent required payment procedures.

15.14 Regulatory Status

Dyrect may rely on authorised payment providers or financial institutions for payment and escrow-related functionality.

Nothing in these Terms represents that Dyrect is itself a bank, deposit-taking institution, or other regulated financial institution unless Dyrect has obtained the relevant legal authorisation.

16. Taxes

Users are responsible for determining and complying with tax obligations arising from their use of Dyrect.

Drop Stars are responsible for taxes associated with earnings received through the Platform except where Dyrect is legally required to calculate, withhold, collect, or remit taxes.

Dyrect does not provide individual tax advice.

17. Cancellations and Refunds

Users may cancel Deliveries in accordance with Platform procedures.

A Sender may generally cancel a Delivery Request before it is accepted without a Drop Star cancellation charge unless otherwise disclosed.

After acceptance, a cancellation charge may apply based on factors such as:

  • Distance already travelled;
  • Time incurred;
  • Costs incurred;
  • Stage of the Delivery.

A Drop Star may cancel where there is a reasonable basis, including:

  • Suspected prohibited contents;
  • Unsafe circumstances;
  • Inability to complete pickup;
  • Sender unavailability;
  • Legal restrictions;
  • Materially inaccurate Delivery information.

Repeated or abusive cancellations may affect Platform access.

Dyrect may cancel a transaction where reasonably necessary because of:

  • Fraud;
  • Payment failure;
  • Identity concerns;
  • Platform misuse;
  • Legal requirements;
  • Safety concerns;
  • Technical failure.

Refunds will be determined according to the transaction circumstances, Dyrect’s applicable refund procedures, and mandatory consumer rights.

18. Ratings, Reviews and Community Standards

Dyrect may provide ratings and review features to promote trust and accountability.

Reviews must be based on genuine experiences and must not be:

  • Fraudulent;
  • Deliberately false or misleading;
  • Threatening;
  • Harassing;
  • Defamatory where prohibited by law;
  • Unlawfully discriminatory;
  • Manipulated to artificially affect ratings.

Dyrect may investigate, hide, remove, or restrict reviews where reasonably necessary to enforce Platform rules or Applicable Law.

Ratings and Platform activity may be considered when:

  • Investigating complaints;
  • Assessing eligibility for certain features;
  • Improving matching;
  • Managing promotions;
  • Protecting users;
  • Maintaining Platform quality.

19. Communications and Electronic Records

By using Dyrect, you agree that we may communicate electronically where legally permitted.

Communications may include:

  • OTPs;
  • Account notifications;
  • Security alerts;
  • Push notifications;
  • SMS;
  • Emails;
  • Payment confirmations;
  • Delivery updates;
  • Support responses;
  • Policy notices;
  • Marketing communications where permitted.

Electronic actions such as entering an OTP, confirming a transaction, or selecting an acceptance button may constitute electronic confirmation or signature to the extent recognised by Applicable Law.

Subject to Applicable Law, relevant Platform records may be used to establish Platform activity or investigate disputes.

Such records may include:

  • Timestamps;
  • Payment records;
  • Messages;
  • Delivery confirmations;
  • GPS information;
  • Uploaded photographs;
  • OTP records;
  • Audit logs.

20. Privacy

Dyrect processes personal information in accordance with the Dyrect Privacy Policy.

The Privacy Policy explains matters including:

  • Information Dyrect collects;
  • Location and route information;
  • Identity verification;
  • Payment information;
  • Information shared between Users;
  • Data retention;
  • Privacy rights;
  • Account deletion;
  • Security;
  • Automated systems and AI.

Where consent is legally required for particular processing, Dyrect will request appropriate consent.

21. Fraud, Abuse and Platform Security

Users must not use Dyrect for:

  • Fraud;
  • Identity theft;
  • Money laundering;
  • Terrorist financing;
  • Payment abuse;
  • Fraudulent chargebacks;
  • Bribery;
  • Corruption;
  • Circumvention of Account restrictions;
  • Other unlawful activity.

Dyrect may investigate activity that reasonably appears fraudulent, abusive, or unlawful.

Subject to Applicable Law, protective measures may include:

  • Additional verification;
  • Transaction delays;
  • Cancellation of pending transactions;
  • Restriction or suspension of Accounts;
  • Delayed payouts;
  • Recovery of valid outstanding amounts;
  • Reporting suspected criminal activity where legally required.

Users agree to reasonably cooperate with legitimate fraud or security investigations concerning their Account or transactions.

22. Intellectual Property

The Platform and its associated intellectual property are owned by Dyrect or its licensors except where otherwise stated.

This may include:

  • Software;
  • Source and object code;
  • Algorithms;
  • Designs;
  • Logos;
  • Trademarks;
  • Brand assets;
  • Databases;
  • Graphics;
  • Documentation;
  • APIs;
  • Platform architecture.

Subject to these Terms, Dyrect grants you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose.

You must not, except where permitted by law or authorised by Dyrect:

  • Copy or commercially exploit the Platform;
  • Modify or create unauthorised derivative works;
  • Reverse engineer protected components;
  • Scrape Platform data using prohibited automated methods;
  • Remove proprietary notices;
  • Misuse Dyrect trademarks or branding.

Feedback voluntarily submitted to Dyrect may be used to improve the Platform without an obligation to compensate the User unless otherwise agreed.

23. User Content

You retain ownership of Content you submit to Dyrect to the extent you own that Content.

By submitting Content necessary to operate the Platform, you grant Dyrect a non-exclusive licence to host, store, reproduce, process, display, and transmit that Content to the extent reasonably necessary to:

  • Operate the Platform;
  • Facilitate Deliveries;
  • Provide support;
  • Maintain security;
  • Investigate disputes;
  • Enforce Platform policies;
  • Comply with Applicable Law.

You must have the necessary rights or authority to submit Content to Dyrect.

24. Third-Party Services

Dyrect may rely on or integrate with third-party services including:

  • Payment processors;
  • Mobile money providers;
  • Banks;
  • Mapping and navigation providers;
  • Cloud providers;
  • SMS and communication services;
  • Identity-verification services;
  • Analytics services;
  • Apple App Store;
  • Google Play.

Third-party services may be governed by separate terms and privacy policies.

Dyrect is not responsible for the independent acts, omissions, availability, or performance of third-party services outside Dyrect’s reasonable control.

25. Platform Availability and Experimental Features

The Platform is provided on an “as available” basis.

Dyrect does not guarantee uninterrupted access.

Availability may be affected by:

  • Maintenance;
  • Software updates;
  • Internet failures;
  • Telecommunications failures;
  • Payment-provider outages;
  • Power failures;
  • Security incidents;
  • Third-party service interruptions;
  • Regulatory requirements;
  • Events beyond Dyrect’s reasonable control.

Dyrect may offer beta, pilot, preview, experimental, or early-access features.

Such features may:

  • Contain bugs;
  • Change without notice;
  • Be unavailable to some Users;
  • Be withdrawn;
  • Operate differently from final features.

26. Disclaimers

To the fullest extent permitted by Applicable Law, Dyrect does not guarantee that:

  • Every Delivery Request will receive a match;
  • A Drop Star will always be available;
  • Every Delivery will be completed;
  • Every User will behave lawfully or appropriately;
  • GPS information will always be accurate;
  • Estimated arrival times will always be achieved;
  • Route or detour calculations will always be accurate;
  • Third-party payments will always process without interruption;
  • The Platform will always be error-free or uninterrupted.

Nothing in these Terms excludes warranties, guarantees, or consumer rights that cannot lawfully be excluded.

27. Limitation of Liability

To the fullest extent permitted by Applicable Law, Dyrect will not be liable for indirect, incidental, special, punitive, exemplary, or consequential losses arising from use of the Platform, including:

  • Loss of profits;
  • Loss of business opportunities;
  • Loss of goodwill;
  • Loss of anticipated savings;
  • Business interruption;
  • Other indirect economic loss.

Dyrect is not responsible for the independent conduct of Senders, Drop Stars, Recipients, or other Users except where Applicable Law provides otherwise.

This may include disputes involving:

  • Delayed Deliveries;
  • User cancellations;
  • Misrepresentations;
  • Damage caused by another User;
  • Fraud committed by another User;
  • Failure of a User to fulfil their obligations.

Dyrect does not inspect or guarantee every Package or Package contents.

GPS, maps, routes, estimated arrival times, and tracking information may be inaccurate or unavailable.

Dyrect is not responsible for failures caused solely by third-party banks, payment providers, mobile money operators, telecommunications providers, mapping providers, or internet service providers outside Dyrect’s reasonable control.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

28. Assumption of Ordinary Platform Risks

Users acknowledge that Deliveries and interactions between independent Users involve ordinary risks including:

  • Traffic;
  • Weather;
  • Road conditions;
  • Delays;
  • Human error;
  • Communication failures;
  • Technology failures;
  • Acts or omissions of third parties.

Users accept such ordinary risks to the extent permitted by Applicable Law.

Nothing in this section requires a User to waive any right that cannot lawfully be waived.

29. Indemnification

To the extent permitted by Applicable Law, you agree to indemnify Dyrect against reasonable losses, liabilities, penalties, claims, and costs resulting from:

  • Your material breach of these Terms;
  • Your violation of Applicable Law;
  • Unlawful Package contents submitted by you;
  • Your fraud or deliberate misconduct;
  • Your infringement of third-party rights;
  • Deliberately false information provided by you;
  • Content submitted by you in violation of another person’s rights.

This provision does not apply to the extent a claim results from Dyrect’s own unlawful conduct or where indemnification cannot legally be required.

30. Suspension and Termination

Dyrect may restrict, suspend, or terminate access to all or part of the Platform where reasonably necessary because of:

  • Material breach of these Terms;
  • Fraud or suspected fraud;
  • Safety concerns;
  • Prohibited Packages;
  • False identity information;
  • Payment abuse;
  • Escrow abuse;
  • Security threats;
  • Legal or regulatory requirements;
  • Repeated harmful conduct toward other Users.

Where appropriate and legally required, Dyrect may provide notice or an opportunity to address the issue.

You may stop using Dyrect at any time and may request Account deletion in accordance with the Privacy Policy and Platform procedures.

Termination does not eliminate obligations that arose before termination, including valid payment obligations or unresolved disputes.

31. Force Majeure

Dyrect is not responsible for delay or failure caused by events beyond its reasonable control, including:

  • Natural disasters;
  • Floods;
  • Fires;
  • Severe weather;
  • War;
  • Civil unrest;
  • Government actions;
  • Regulatory restrictions;
  • Labour disruptions;
  • Telecommunications outages;
  • Internet failures;
  • Power outages;
  • Cyber incidents;
  • Epidemics or pandemics;
  • Material failures of third-party infrastructure.

This provision applies only to the extent permitted by Applicable Law.

32. Changes to the Platform and These Terms

Dyrect may modify the Platform or these Terms where reasonably necessary to:

  • Introduce or modify features;
  • Improve Platform functionality;
  • Address security concerns;
  • Prevent fraud or abuse;
  • Reflect business changes;
  • Comply with legal or regulatory requirements;
  • Clarify existing provisions.

Where required by law, Dyrect will provide reasonable notice before material changes take effect.

Notice may be provided through:

  • The Platform;
  • Push notifications;
  • Email;
  • SMS;
  • Dyrect’s official website.

The Effective Date at the top of these Terms indicates when the current version became effective.

If you do not agree with revised material Terms, you may discontinue use of the Platform.

33. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Ghana, subject to any mandatory rights available under Applicable Law.

Before commencing formal legal proceedings, Users are encouraged to contact Dyrect Support so the parties can attempt to resolve the matter in good faith.

Subject to mandatory legal rights, disputes arising from these Terms or use of Dyrect may be submitted to courts of competent jurisdiction in the Republic of Ghana.

Nothing prevents either party from seeking urgent or interim relief from a court where reasonably necessary.

Nothing in these Terms shortens any statutory limitation period where doing so is prohibited by law.

34. Assignment

Dyrect may assign or transfer its rights and obligations under these Terms in connection with a lawful:

  • Merger;
  • Acquisition;
  • Restructuring;
  • Financing;
  • Sale of assets;
  • Change of control;
  • Similar transaction.

You may not transfer your Account or assign material rights or obligations under these Terms without Dyrect’s prior written consent.

Nothing in this section limits rights that cannot lawfully be restricted.

35. General Provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

Dyrect’s failure or delay in enforcing a provision does not automatically waive its right to enforce that provision later.

Headings are provided for convenience and do not independently determine the meaning of these Terms.

Provisions that by their nature should continue after Account closure or termination will survive to the extent necessary.

These may include:

  • Payment obligations;
  • Escrow obligations;
  • Intellectual property provisions;
  • Dispute provisions;
  • Privacy obligations;
  • Indemnification;
  • Lawful limitations of liability.

These Terms together with policies expressly incorporated by reference constitute the agreement governing your use of the Platform, subject to rights that cannot legally be excluded.

36. Additional Policies

Certain Platform activities may be governed by additional policies, including where applicable:

  • Privacy Policy;
  • Refund and Cancellation Policy;
  • Community Guidelines;
  • Prohibited Items Policy;
  • Drop Star Guidelines;
  • Identity Verification Policy;
  • Payment and Escrow Policy;
  • Referral or Promotional Terms.

Where a specific policy applies to a particular feature, that policy forms part of these Terms to the extent stated.

If a feature-specific policy conflicts with these Terms, the more specific provision will apply to that feature to the extent of the conflict, subject to Applicable Law.

37. Apple App Store End-User Licence Terms

The provisions of this Section apply where you download, install, access, or use the Dyrect application through Apple’s App Store.

For purposes of this Section, the Dyrect application is referred to as the “Licensed Application.”

37.1 Agreement Between You and Dyrect

You acknowledge and agree that these Terms are entered into between you and Dyrect only, and not with Apple Inc. (“Apple”).

Dyrect, and not Apple, is solely responsible for:

  • The Licensed Application;
  • The content of the Licensed Application;
  • Operation of the Dyrect Platform;
  • Services provided through Dyrect;
  • Customer support relating to Dyrect;
  • Subject to these Terms and Applicable Law, claims arising from the Licensed Application.

Apple is not responsible for operating or providing the Dyrect delivery marketplace.

Nothing in these Terms is intended to conflict with the Apple Media Services Terms and Conditions or applicable App Store Usage Rules.

Where a provision of these Terms applicable to the Licensed Application conflicts with a mandatory Apple App Store requirement, the applicable Apple requirement will govern to the extent necessary.

37.2 Scope of Licence

Subject to your compliance with these Terms, Dyrect grants you a limited, personal, non-exclusive, non-transferable, revocable licence to download, install, and use the Licensed Application on Apple-branded products that you own or control and as permitted by the applicable usage rules contained in the Apple Media Services Terms and Conditions.

The Licensed Application may also be accessed and used through other accounts associated with the purchaser where permitted by Apple, including through applicable Family Sharing or volume-purchasing arrangements.

Except where expressly permitted by Applicable Law or Apple’s applicable Usage Rules, you may not:

  • Sell the Licensed Application;
  • Rent or lease the Licensed Application;
  • Redistribute the Licensed Application;
  • Sublicense the Licensed Application;
  • Make unauthorised copies of the Licensed Application;
  • Reverse engineer, disassemble, or attempt to derive its source code;
  • Modify the Licensed Application;
  • Create unauthorised derivative works from the Licensed Application.

Nothing in this Section grants ownership of the Licensed Application or Dyrect intellectual property to you.

37.3 Maintenance and Support

Dyrect, and not Apple, is responsible for providing maintenance and support relating to the Licensed Application to the extent such maintenance or support is required under these Terms or Applicable Law.

You acknowledge that Apple has no obligation to provide maintenance, technical support, customer support, updates, or other support services for Dyrect.

Questions or problems relating to:

  • Your Dyrect Account;
  • Deliveries;
  • Senders;
  • Drop Stars;
  • Payments;
  • Escrow;
  • OTP verification;
  • Refunds;
  • Payouts;
  • Platform functionality;

should be directed to Dyrect using the contact information provided in these Terms.

37.4 Application Warranties

To the extent that any warranty concerning the Licensed Application exists and has not been validly excluded under Applicable Law, Dyrect, and not Apple, is responsible for that warranty.

If the Licensed Application purchased through the App Store fails to conform to an applicable warranty, you may notify Apple as permitted under Apple’s applicable terms.

Where applicable, Apple may refund the purchase price paid to Apple for the Licensed Application.

To the maximum extent permitted by Applicable Law, Apple has no other warranty obligation concerning the Licensed Application.

Any claims, losses, liabilities, damages, costs, or expenses attributable to a failure of the Licensed Application to conform to an applicable warranty remain the responsibility of Dyrect to the extent required by Applicable Law.

Nothing in this Section excludes or limits any statutory or consumer right that cannot lawfully be excluded or limited.

37.5 Product and Regulatory Claims

You acknowledge that Dyrect, and not Apple, is responsible for addressing claims relating to the Licensed Application or your possession and use of the Licensed Application, including where applicable:

  • Product liability claims;
  • Claims that the Licensed Application fails to comply with an applicable legal or regulatory requirement;
  • Consumer-protection claims;
  • Privacy or data-protection claims;
  • Claims arising from Dyrect’s services or Platform functionality.

Apple is not responsible for resolving disputes concerning:

  • Dyrect Deliveries;
  • Package transportation;
  • Sender and Drop Star interactions;
  • Dyrect escrow transactions;
  • Drop Star earnings;
  • Refunds;
  • Delivery disputes;
  • User conduct occurring through Dyrect.

Nothing in these Terms limits Dyrect’s liability beyond what is permitted by Applicable Law.

37.6 Intellectual Property Claims

If a third party claims that the Licensed Application, or your possession or use of it, infringes that third party’s intellectual property rights, Dyrect, and not Apple, will be responsible for the investigation, defence, settlement, and resolution of such claim to the extent required by Applicable Law.

This provision does not make Dyrect responsible for infringement caused by:

  • Content submitted unlawfully by a User;
  • Unauthorised modifications to the Licensed Application;
  • Use of the Licensed Application in violation of these Terms;
  • Third-party materials or services outside Dyrect’s control,

except to the extent Applicable Law provides otherwise.

37.7 United States Legal and Sanctions Compliance

By downloading or using the Licensed Application, you represent and warrant that:

  • You are not located in a country or territory that is subject to an applicable United States Government embargo or designated by the United States Government as supporting terrorism; and
  • You are not listed on an applicable United States Government list of prohibited or restricted parties.

You must not use the Licensed Application where doing so would violate applicable sanctions, export-control laws, trade restrictions, or other Applicable Law.

Dyrect may restrict access where reasonably necessary to comply with such requirements.

37.8 Developer Information

37.9 Third-Party Terms

When using Dyrect, you agree to comply with applicable third-party agreements and terms that govern services, devices, networks, or technologies you use in connection with the Licensed Application.

These may include applicable terms of:

  • Apple;
  • Mobile network operators;
  • Internet service providers;
  • Mobile money providers;
  • Banks;
  • Payment processors;
  • Mapping or navigation providers;
  • Identity-verification providers;
  • Other third-party services integrated with Dyrect.

For example, your use of Dyrect must not cause you to violate the terms governing your mobile data or telecommunications service.

Third-party services may also be subject to their respective privacy policies.

37.10 Apple as Third-Party Beneficiary

You and Dyrect acknowledge and agree that Apple and Apple’s subsidiaries are third-party beneficiaries of this Section and these Terms as they relate to the Licensed Application.

Upon your acceptance of these Terms, Apple will have the right, and will be deemed to have accepted the right, to enforce the provisions applicable to it against you as a third-party beneficiary.

Except for Apple and its subsidiaries as expressly provided above, nothing in this Section is intended to grant enforcement rights to any other third party unless expressly stated elsewhere in these Terms.

37.11 Apple Is Not a Party to Dyrect Transactions

For clarity, Apple:

  • Is not a Sender;
  • Is not a Drop Star;
  • Does not transport Packages;
  • Does not operate Dyrect’s escrow system;
  • Does not process or determine Dyrect Delivery disputes;
  • Does not verify Package contents;
  • Does not control Users;
  • Is not responsible for payments between Senders and Drop Stars except to the extent Apple separately provides a payment service governed by its own terms.

Transactions facilitated through Dyrect remain subject to these Terms and Applicable Law.

37.12 App Store Usage Rules

Your use of the Licensed Application must comply with the applicable Apple Media Services Terms and Conditions and App Store Usage Rules.

These Terms are intended to supplement, and not conflict with, mandatory terms applicable to applications distributed through Apple’s App Store.

Where Apple permits use of the Licensed Application through Family Sharing, volume purchasing, or another authorised Apple programme, such use will be permitted subject to Apple’s applicable rules.

37.13 Relationship With Apple’s Standard EULA

Where Dyrect provides these Terms to Apple as a custom end-user licence agreement for the Licensed Application, these Terms are intended to operate as Dyrect’s custom EULA subject to Apple’s applicable requirements.

Where a separate Dyrect custom EULA has not been provided through App Store Connect for a particular country or region, Apple’s applicable Standard End User Licence Agreement may apply to the Licensed Application in accordance with Apple’s terms.

Nothing in these Terms is intended to remove or restrict rights granted to you under Apple’s mandatory terms where those rights apply.
